    1. About these terms

These Terms of Service govern use of https://northstarpixel.com/ and, when incorporated into a signed project contract, the services provided by W&P Fund LLC, a Wyoming limited liability company, doing business as Northstar Pixel (“Company,” “we,” “us,” or “our”). “Client” means the person or business contracting for services. Anyone signing for a business represents that they have authority to bind it.

    Our contact details are:

    Email: info@northstarpixel.com

    Phone: +1 (978) 543-1849

Mail: W&P Fund LLC — Northstar Pixel, 2125 Biscayne Blvd., Suite 207, Miami, FL 33137, United States.

Project contracts include binding arbitration and limitations of liability. Read Sections 14 and 16 carefully before signing. Mere browsing does not place an order or execute a project contract. These Terms apply when accepted through a clear affirmative acceptance process or incorporated into the signed project documents.

    2. Services and professional limitations

We provide renderings, sketch plans, site maps, floor plans, animations, 3D video renderings, and related conceptual design and visualization services expressly described in a Project Proposal.

Deliverables are artistic and conceptual representations for visualization, presentations, and marketing. They are not certified construction documents, engineering drawings, surveys, architectural plans of record, or permit-ready documents. They do not replace services from appropriately licensed architects, engineers, surveyors, or other professionals.

We do not guarantee zoning approvals, building permits, code compliance, regulatory acceptance, development feasibility, sales results, construction costs, or exact correspondence with a completed physical project. Clients must obtain independent professional verification before using any depicted design for construction, permitting, or technical decisions.

    3. Project documents and acceptance

Each project requires a Client Services Agreement and Project Proposal signed by both parties. Electronic signatures may be used through an agreed process. An inquiry, quotation discussion, or deposit alone does not replace execution of both documents.

The Project Proposal identifies scope, views, deliverables, file formats, included revision rounds, estimated dates, and fees. Proposals remain open for 14 calendar days from issue unless otherwise stated. Expired proposals require confirmation of pricing and availability.

The signed documents incorporate the version of these Terms provided at signing. A later signed amendment controls any conflict. The Client Services Agreement controls over the Proposal unless the Proposal expressly identifies and overrides a particular clause. The signed Agreement and Proposal control over these website Terms. Website updates do not retroactively alter signed projects.

    4. Fees and payment

Fees are in US dollars unless the signed Proposal expressly states otherwise. Online payments may be processed by third-party providers such as Stripe.

    The payment schedule is:

    • Upfront: 50% of the non-rush project fee, plus 100% of any agreed rush fee.
    • Before release: The remaining 50% of the non-rush project fee must be paid before final Deliverables and related source files are released.

Review previews may be supplied before final payment. The upfront payment is subject to Section 9; it is not categorically non-refundable.

Invoices are due on receipt unless the Proposal states otherwise. Amounts unpaid more than seven calendar days after the due date accrue interest at 1.5% per month or the maximum lawful rate, whichever is lower. We may withhold final files until payment is received. Collection costs and reasonable attorneys’ fees may be recoverable as provided in the signed Agreement and permitted by law.

Any transaction charges payable by the Client must be disclosed before payment and permitted by applicable law and payment-network rules. Applicable taxes are identified where required; the Company remains responsible for taxes legally imposed on it. Clients may not use payment withholding to demand uncontracted extra work. Nothing here waives a lawful payment dispute, refund right, or remedy for breach.

    5. Estimated schedule and rush work

The estimated delivery period starts when both the Agreement and Proposal are executed and the upfront payment, including any required rush fee, is received. Production also requires a complete brief, confirmed Scope Lock, and all necessary Client files. Missing inputs, delayed approvals, conflicting instructions, and scope changes extend the estimated schedule.

Delivery dates are estimates, not guarantees, unless both parties expressly agree otherwise in a signed amendment. We will communicate material changes to the expected schedule.

Rush pricing is based on the non-rush project fee:

    • Within 72 hours: 50% surcharge, available only if we confirm feasibility and acceptance in writing for the specific project.
    • Within 4–7 calendar days: 25% surcharge, subject to our acceptance.
    • Other accelerated schedules: A surcharge agreed in writing before production.

Rush fees are payable in full with the initial deposit and are non-refundable, subject to mandatory law. Rush acceptance reserves priority production; it does not guarantee a completion date. The included revision allowance remains the allowance stated in the Proposal. Incomplete or contradictory briefs may suspend production and extend the estimate.

    6. Scope confirmation and revisions

Before production, the Client must confirm the number and description of views, camera angles, orientations, deliverables, and required design features in a written Scope Lock.

The Proposal states the included revision rounds; there is no universal default allowance. A revision round means one consolidated set of reasonable feedback supplied in a single communication. Separate sets of feedback count as separate rounds.

Written feedback is due within ten business days after a draft is delivered. In the absence of feedback, the draft is treated as accepted for production and revision scheduling, without overriding mandatory legal rights or express contractual warranties.

New views, changed layouts, revised designs, changes to approved scope, and work caused by replacement or inaccurate Client files require an approved Change Order and may extend the schedule. Additional authorized revisions and work are billed at $65 per hour, unless a fixed price is agreed in a signed Change Order. We communicate charges and obtain approval before performing additional billable work.

    7. Client responsibilities

Clients must provide accurate, complete, current plans, dimensions, surveys, references, instructions, and other necessary materials, and confirm that they have permission to supply and authorize use of those materials.

Clients must designate a project contact, provide consolidated feedback, check drafts, and identify errors or omissions promptly. Rework directly caused by incorrect, outdated, or superseded Client information is additional work under Section 6. This does not excuse errors caused by the Company independently of Client materials.

Clients remain responsible for rights in supplied logos, photographs, designs, and other content. Under the signed Agreement, Clients are responsible for qualifying third-party claims arising from their infringing materials, unlawful use, material breach, negligence, or willful misconduct, with notice and defense rights as stated there. This does not require indemnification for the Company’s own wrongdoing to the extent prohibited by law.

    8. AI tools and production personnel

We may use AI tools to create or enhance images, textures, materials, lighting, landscaping, resolution, and other project elements and to assist production. These may include OpenAI/ChatGPT and Anthropic/Claude through business accounts or APIs. Project information may be processed as described in our Privacy Policy and subject to the project’s confidentiality obligations.

We may use employees and subcontractors, including production personnel in the Philippines, while remaining responsible for performance of our contractual obligations. Any special restriction on AI or overseas production must be agreed in writing before production.

AI-assisted output may contain artistic variation and is not a guarantee of precise dimensions, material matches, or technical accuracy. We transfer only rights we own or may lawfully transfer. Purely AI-generated elements may not qualify for copyright protection, so exclusive copyright ownership of every element is not guaranteed. The agreed rights in human-created custom work remain governed by Section 10.

    9. Cancellation refunds and incomplete projects

Cancellation must be submitted in writing to info@northstarpixel.com. We account for payments already received and provide an itemized calculation. No hour, payment, or fee may be counted twice.

    Before work starts

If the Client cancels before work begins, we refund 75% of non-rush payments received and retain 25% of those payments as a service fee. Any rush fee remains non-refundable and is excluded from this percentage calculation. No additional 25% cancellation fee is added.

    After work starts

If the Client cancels after work begins, charges consist of:

    1. 1.Documented hours worked at $65 per hour, capped at the agreed non-rush project fee;
    2. 2.A cancellation fee equal to 25% of the remaining unearned non-rush project fee; and
    3. 3.The non-refundable rush fee, if applicable.

The remaining unearned non-rush fee is the agreed non-rush project fee, including signed Change Orders, less the earned work charge, never less than zero. Payments received are credited against total charges. We refund any excess; the Client owes any shortfall. Total project charges, including rush fees, cannot exceed the agreed total project fee, including signed Change Orders.

For example, on a $2,000 non-rush project with a $1,000 payment and ten documented hours worked, the work charge is $650. The remaining unearned fee is $1,350, and the cancellation fee is $337.50. Total charges are $987.50, producing a $12.50 refund. Any separately paid rush fee would be retained separately.

If we cannot complete the project

If we cannot complete the project, we refund payments received less documented work at $65 per hour and any non-refundable rush fee. No 25% service or cancellation fee applies. Work charges are capped at the agreed non-rush project fee. If charges exceed payments received, the Client owes the difference, subject to the same overall agreed-fee cap.

We provide an itemized calculation and completed paid-for work and related project source files. The ownership provisions apply to that completed work after payment of the applicable termination balance.

These provisions do not override mandatory refund rights, excuse fraud, gross negligence, or willful misconduct, or eliminate remedies for an uncured material breach. Either party may terminate for a material breach not cured within ten business days after written notice, as provided in the Agreement.

    10. Ownership and source files

After full payment, the Client owns the transferable rights we hold in the final custom Deliverables and their related editable project source files, including applicable copyrights. Clients may use, reproduce, publish, modify, distribute, and commercially exploit that work and share it with builders, agents, consultants, and marketing teams. Source files are included without a separate buyout charge; the Proposal identifies their formats and relevant software requirements.

Before full payment, drafts may be used only for internal review, not for public distribution or commercial use.

We retain our reusable tools, workflows, templates, libraries, software, methodologies, general assets, and unused or rejected preliminary concepts. To the extent Company-owned reusable elements are embedded in paid Deliverables, the Client receives a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, and distribute those elements as part of the Deliverables.

Third-party fonts, stock images, models, software, and other licensed assets remain subject to their own licenses. We cannot transfer ownership or redistribution rights we do not hold. We disclose material restrictions before delivery. Software licenses needed to open or edit source files are not included unless expressly stated.

    11. Portfolio use and confidentiality

The Client grants us a perpetual, non-exclusive right to display completed final Deliverables in our portfolio, website, social media, and promotional materials without further permission. A separately signed confidentiality restriction takes precedence.

This permission does not authorize publication of private contact details, account credentials, or unrelated confidential business records. It does not permit us to claim the Client endorses us.

Each party must protect the other’s non-public project and business information and use it for performance of the project, subject to the agreed portfolio permission. Access may be provided to personnel and service providers who need it and are subject to appropriate confidentiality obligations. The Agreement’s exceptions cover public information, previously known information, independently developed information, and disclosures required by law. Contractual confidentiality duties survive for three years after termination, without shortening any longer protection required by law.

Personal information is also handled as described in our Privacy Policy, available through the website’s Privacy Policy link or on request.

    12. Website use

You may use the website to learn about our services and make legitimate inquiries. You must not introduce malware, attempt unauthorized access, interfere with the website, impersonate others, submit unlawful or infringing material, or misrepresent ownership of portfolio content.

Website text, branding, and portfolio materials belong to us or their respective owners. Viewing the website does not grant rights to reproduce or commercially exploit those materials. This restriction does not reduce a paid Client’s rights in its own Deliverables.

Third-party links and payment services are governed by the relevant providers’ terms. We may suspend access reasonably necessary to address misuse or security threats. We do not guarantee uninterrupted website availability.

    13. Service standard and warranties

We undertake to perform the services professionally and in a workmanlike manner consistent with industry standards and the signed scope. We will not knowingly incorporate third-party material in a manner that infringes its owner’s rights.

Except for express contractual promises and rights that cannot lawfully be excluded, services and visualizations carry no additional implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Artistic results, regulatory approvals, project economics, sales performance, and exact correspondence to real-world construction are not guaranteed. These limitations do not excuse failure to meet an expressly agreed specification.

    14. Limitation of liability

To the maximum extent permitted by law, the Company and its personnel are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost business, loss of data or goodwill, delayed sales, or construction delays arising from a project.

The Company’s total cumulative liability for claims relating to an affected project will not exceed the fees actually paid by the Client for that project.

These limitations do not exclude fraud, gross negligence, willful misconduct, or any liability that cannot lawfully be limited. They do not reduce the express refund obligations in Section 9. They apply subject to mandatory law and the signed Agreement.

    15. Events beyond reasonable control

A party is not responsible for a failure or delay caused by circumstances beyond its reasonable control, such as natural disasters, governmental restrictions, war, major utility failures, or internet outages, except that this does not excuse amounts properly owed.

The affected party must give notice and make reasonable efforts to resume performance. If the event continues for more than 30 calendar days, either party may terminate. The accounting described above for Company inability to complete applies, without a 25% cancellation fee and subject to mandatory law.

    16. Florida law mediation and arbitration

Florida law governs the project contract, without its conflict-of-laws rules, subject to applicable federal law and nonwaivable protections. The Federal Arbitration Act governs arbitration enforceability where applicable.

Mediation first. The parties first attempt good-faith, non-binding mediation with a mutually agreed mediator, conducted within 30 days after a written request. If the dispute is not resolved within 60 days after that request, either party may proceed to arbitration.

Binding arbitration. Disputes covered by the signed contract are finally resolved by the American Arbitration Association under its Commercial Arbitration Rules, in Miami, Florida, or virtually by agreement. If AAA Consumer Arbitration Rules apply, those rules and their mandatory protections govern instead. Applicable rules are available at https://www.adr.org/rules-forms-and-fees/.

The award is binding, subject to statutory review. The prevailing party may recover reasonable attorneys’ fees and costs only to the extent permitted by applicable law and the applicable AAA rules. Eligible individual small-claims proceedings remain available where required by those rules. To the extent permitted by law, proceedings are individual rather than class, collective, or representative proceedings; no nonwaivable remedy is surrendered.

Limited court proceedings. State courts in Miami-Dade County and federal courts in the Southern District of Florida may handle permitted proceedings to compel arbitration, obtain provisional relief, confirm or enforce an award, challenge it on statutory grounds, or resolve claims not legally subject to arbitration, subject to jurisdictional requirements and mandatory law. Seeking appropriate interim relief does not waive arbitration. An unfavorable arbitration result does not create a general right to retry the dispute in court.

    17. Changes and general provisions

We may update website Terms prospectively and identify the revised date. Material changes requiring agreement will be presented for acceptance. Changes to an existing project contract require a written amendment signed by both parties; website publication alone does not amend it.

If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A failure to enforce a provision is not a continuing waiver. The parties are independent contractors. The signed Agreement, Proposal, incorporated Terms, and signed amendments constitute the project contract.

The effective date shown above identifies the Terms version and does not retroactively impose obligations on projects entered into before acceptance.
